Description:

This is a very detailed paper on the pros and cons of companies going public. The author looks into the questions a company needs to look at before making the decision of whether or not to go public, and also answers the question of whether or not a company can sell securities without registering.

From the Paper:

'As small businesses grow, an important decision they need to make is whether or not they want to keep it on a small scale, or ''go public." This is a decision that needs to be carefully thought out, because only about half of all companies succeed, and last more than five years. In order to make this decision, companies need to evaluate the benefits and obligations alike of going public. Another question that companies need to look into is if they can sell securities to the public without registering with the SEC (Securities Exchange Commission). In the middle to late 1990's, small high technology businesses were going through this process in mass quantities, however in today's slowing economy, it is not as widespread. Going public is the first big step towards bringing your company to new heights of recognition and income. If Bill Gates can do it, anybody can, right?"
