Merger and Acquisitions is a term used in the corporate world to describe the consolidation of companies. A mergers and acquisitions outline definition is essentially this: A merger is when two combines are combined to create a new company; an acquisition is when one company purchases another, although no new company is created. Mergers and acquisitions basics show that the objective behind M&A is to increase shareholder value, through the premise that the value of two companies consolidated (either through merger or acquisition) is worth more than two separate companies. Many times, simple purchase deals are called mergers when a buyout is done in a non-hostile way and the CEOs agree that the move is in the best interest of the companies. Merger and acquisitions due diligence is the approach used by one company to assess the price and financial risks of the target company when a merger or acquisition is on the cards. Companies will investigate the true value of the target and what value it will add to the purchasing company. Due diligence also involves the evaluation of costs of retaining key personnel and severance payment of personnel who will need to leave due to the deal.
